Can a holder of share stapled units requisition for the convening of an extraordinary general meeting?
Pursuant to paragraph 1.2, Schedule 1 of the Trust Deed constituting HK Electric Investments, registered holder(s) of units holding not less than 5% of the units (as a component of the share stapled units) may request the Trustee-Manager in writing to convene an extraordinary general meeting of registered holders of units. Pursuant to article 12.3 of the Company's articles of association, any two or more members of the Company (or one member of the Company if such member is a recognized clearing house or its nominees) holding not less than, for as long as the Trust Deed remains in force, 5% or, thereafter, one-tenth of the paid up capital of the Company which carries the right of voting at general meetings of the Company, may requisition for the convening of an extraordinary general meeting of the Company. The requisition specifying the objects of the meeting should be signed by the requisitionists and deposited at the principal office of the Company in Hong Kong. The Trustee-Manager and the Company will ensure that a meeting of shareholders is not convened and held unless a meeting of registered holder of units is also convened and held and vice versa in accordance with clause 4.7(a) of the Trust Deed and article 12.10 of the Company's articles of association. How can a holder of share stapled units propose a person other than a retiring director for election as a director?
Pursuant to article 16.5 of the Company's articles of association, if a shareholder wishes to propose a person other than a retiring director of the Company for election as a director of the Company at any general meeting, he and that person proposed by him should have each during the period, which shall be at least 7 days, commencing no earlier than the day after the despatch of the notice of the meeting appointed for such election and ending no later than 7 days prior to the date of such meeting, give a notice to the Company Secretary in writing duly signed, signifying respectively his intention to propose that person for election and that person's willingness to be elected. The biographical details of the proposed candidate as required under Rule 13.51(2) of the Listing Rules should also be provided at the same time to the Company for publication purpose.
